Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Untrace Technology, Inc. ("Untrace", "we", "us", or "our") governing your use of the Untrace protocol, website, developer tools, SDKs, documentation, and any associated services (collectively, the "Services").

By accessing or using the Services, you confirm that you are at least 18 years old, have the legal capacity to enter into this agreement, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Services.


2. Description of Services

Untrace provides a privacy-first Layer 1 blockchain protocol for sharded, ZK-gated data storage and distribution. The Services include:

  • Access to the Untrace testnet and mainnet
  • Developer SDKs and APIs
  • Documentation and technical resources
  • Node operator tooling
  • dApps built by Untrace (Privacy Vault, eSign, Escrow, Tokenization infrastructure)

The Untrace base protocol is open-source software running on a decentralized network. We do not control, and cannot be held responsible for, the behavior of independent node operators, third-party dApp developers, or user-deployed smart contracts.


3. Accounts and Access

3.1 Wallet-Based Authentication

Access to the Untrace protocol is authenticated via blockchain wallet and ZK identity proof. You are solely responsible for:

  • Securing your private keys and wallet credentials
  • All actions taken under your wallet address or DID
  • Any loss of funds or data resulting from compromised keys

We cannot recover lost private keys or restore access to a wallet you no longer control.

3.2 Developer Accounts

If you register for a developer account or API access, you must:

  • Provide accurate registration information
  • Not share access credentials
  • Promptly notify us of any unauthorized use at security@untrace.tech

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation
  • Store, transmit, or distribute illegal content including child sexual abuse material (CSAM), content that facilitates terrorism, or material that violates third-party intellectual property rights
  • Circumvent, disable, or interfere with security features of the protocol
  • Conduct denial-of-service attacks against the network or any node operator
  • Impersonate any person or entity
  • Engage in market manipulation, fraud, or money laundering
  • Exploit vulnerabilities in the protocol in a manner that harms users or node operators (responsible disclosure is encouraged — contact security@untrace.tech)

Untrace reserves the right to suspend or terminate access to any Services (excluding the decentralized protocol itself, which operates independently) for material violations of these Terms.


5. Blockchain and Token Risks

You acknowledge and accept the following risks associated with blockchain technology and the $UNTRACE token:

5.1 Technology Risks

  • Blockchain software may contain bugs, vulnerabilities, or experience unexpected behavior
  • Smart contract exploits can result in irreversible loss of funds
  • Network upgrades may introduce breaking changes to existing integrations
  • ZK proof systems rely on cryptographic assumptions that could theoretically be broken by future advances

5.2 Token Risks

  • $UNTRACE is a utility token; it is not a security, investment contract, or financial instrument in any jurisdiction that has not expressly classified it as such
  • The value of $UNTRACE may fluctuate significantly; you may lose the entire value of any tokens you hold
  • Token distributions are subject to applicable laws; you are responsible for determining whether purchasing or holding $UNTRACE is lawful in your jurisdiction

5.3 Decentralization Risks

  • The Untrace protocol operates on a decentralized network of independent nodes
  • Untrace does not control node operators and cannot guarantee node availability, uptime, or behavior
  • Data reconstruction depends on a sufficient threshold of nodes being online and honest

6. Fees

Use of the Untrace protocol requires payment of transaction fees in $UNTRACE. Fee levels are set by protocol governance and may change. You are responsible for ensuring you hold sufficient $UNTRACE to pay fees for intended operations.

Untrace-operated dApps (Privacy Vault, eSign, Escrow) may charge additional fees as disclosed in the relevant dApp's terms. All fees are non-refundable unless otherwise stated.


7. Intellectual Property

7.1 Our IP

The Untrace brand, website design, documentation, and proprietary software components are the intellectual property of Untrace Technology, Inc., protected by applicable copyright, trademark, and other laws.

7.2 Open Source

The Untrace protocol codebase is released under the MIT License. You are free to use, modify, and distribute the protocol software subject to the terms of that license.

7.3 Your Content

You retain all rights to data you store on the Untrace network. By using the protocol, you grant us no rights to your data — and our architecture ensures we cannot access it in any case.


8. Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.


9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.

WE DO NOT WARRANT THAT:

  • The protocol will be error-free or continuously available
  • Any data stored will be recoverable if insufficient nodes are available
  • The $UNTRACE token will retain any particular value
  • The Services will meet your specific requirements

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNTRACE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Loss of funds, tokens, or data
  • Indirect, incidental, consequential, or punitive damages
  • Losses arising from smart contract exploits, node failures, or network downtime
  • Any amount exceeding the fees you paid to Untrace in the 12 months preceding the claim

Some jurisdictions do not allow certain liability exclusions. In such jurisdictions, our liability is limited to the maximum extent permitted by law.


11. Indemnification

You agree to indemnify and hold harmless Untrace, its affiliates, and their respective officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Content or data you store or transmit through the Services

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by JAMS under its Comprehensive Arbitration Rules, conducted in English, in San Francisco, California. Class action waiver applies: you may not bring claims as a class representative or class member.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.


13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email (if you have an account) and posted on this page with an updated date. Continued use of the Services after changes constitutes acceptance.
